Mr. Richman practices business transactional law. Mr. Richman has negotiated, drafted, and closed everything from formation, employment matters, customer and supplier contracts, purchase agreements, leases, software agreements, technology agreements, mergers & acquisitions, due diligence, raising financing, bank agreements and other typical business matters for everyone from one person companies to Fortune 500 companies and everything in between.
Representative Matters
In addition to Mr. Richman’s day to day representation of the typical legal matters mentioned above, Mr. Richman’s experience includes:
- Company and Investor side financing. Negotiated and closed numerous transactions on behalf of technology companies including the following: Handled numerous investment rounds for telephony company. Handled investment round for Internet advertising company. Handled numerous investment rounds for Internet security company. Also negotiated and closed other transactions on behalf of venture capital funds and angel investors.
- Sale of $185mm international Internet gaming company. Handled sale of company to publicly traded English company for $185 million. Drafted documents and worked with counsel in the UK, Antigua, Costa Rica and the Isle of Man. Prepared regulatory filings for UK agencies.
- Sale of debt consolidation company to management in MBO for $110 million. Involved in sale of debt consolidation company to its management, including the preparation of document and closing of transaction.
- Sale of $50mm Singapore wafer company. Handled sale of wafer company to US publicly traded company. Prepared documents, including proxy materials, for the transaction
- Acquisition of numerous insulation companies in nationwide rollup. Due diligence. Prepared documents, including purchase agreements, employment agreements and related documents
- Acquisition of call center for Indian based publicly traded multi-national conglomerate. Due diligence review of corporate matters. Negotiated transaction, drafted documents, and negotiated with the key banking relationship of the target company
- Acquisition of all operations of international Internet gaming company operating out of Costa Rica. Due diligence review of corporate matters. Drafted documents, negotiated and closed transaction
- Acquisition of small brokerage house. Due diligence review of corporate and regulatory matters. Prepared and negotiated documents. Managed licensing issues.
- Acquisition of all assets of AV company. Due diligence of corporate and tax matters. Prepared documents. Three party negotiations with secured lender. Drafting documents. Negotiation
- Sale of all outstanding stock of small company to publicly traded company.Drafted documents, negotiated transaction and closed transaction.
- Sale of computer solutions company to management. Prepared documents. Negotiated and closed transaction.
